Terms of Service

1. Acceptance of terms

By installing or using the LisARMChrome extension (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not install or use the Service.

2. Description of service

LisARM is a browser extension that monitors social media compose boxes for keywords that may pose securities, regulatory, or compliance risks. When a risk is detected, the extension displays a modal with flagged terms, risk levels, suggested rewrites, and escalation options. All processing occurs locally in your browser.

3. Account and administrator responsibilities

If you deploy LisARM for a team or organization, you are responsible for configuring keyword policies, internal review workflows, and user access in accordance with your regulatory obligations.

You acknowledge that your organization remains solely responsible for publication decisions, internal approvals, and legal review.

4. Not legal advice

LisARM is a compliance-awareness tool. It does not provide legal, financial, or regulatory advice. Keyword detection is based on configurable word lists and does not constitute a legal review. You are solely responsible for the content you publish. Always consult qualified legal counsel for compliance decisions.

5. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

6. Permitted use

You may use LisARM for lawful purposes only. You agree not to:

• Reverse-engineer, decompile, or disassemble the extension.
• Use the Service to circumvent compliance obligations rather than support them.
• Redistribute, sublicense, or resell the Service without written permission.
• Remove or alter any proprietary notices or labels in the extension.

7. Prohibited uses and abuse

You may not use LisARM to engage in unlawful conduct, securities fraud, market manipulation, harassment, or any conduct that violates platform rules, applicable law, or regulatory obligations.

Any attempt to bypass or disable core safety checks in bad faith may result in suspension of service access where applicable.

8. Intellectual property

All rights, title, and interest in and to LisARM, including its code, design, keyword databases, and documentation, remain with us. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service.

9. Service availability and changes

We may update, improve, suspend, or discontinue features at any time, including keyword packs, UI behavior, and integrations, to maintain quality, security, and compliance alignment.

We do not guarantee uninterrupted availability and are not responsible for outages caused by third-party platforms, browser vendors, or network providers.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that it will detect all compliance risks.

11. Limitation of liability

To the maximum extent permitted by law, LisARM and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to regulatory fines, legal actions, or reputational harm resulting from content you publish.

12. Indemnification

You agree to indemnify and hold harmless LisARM and its creators from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

You may stop using LisARM at any time by uninstalling the extension. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

14. Export controls and sanctions compliance

You agree not to use or export the Service in violation of applicable export control and sanctions laws. You represent that you are not located in, organized under, or ordinarily resident in a restricted jurisdiction where use would be unlawful.

15. Changes to these terms

We may revise these Terms at any time. Updated Terms will be posted on this page. Continued use of the Service after changes constitutes acceptance.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Where legally permitted, disputes arising out of these Terms will be resolved in the courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts.
